These Terms of Service (“Terms”) govern the relationship between Quartz Falcon (“Company”, “we”, “our”, or “us”) and any individual, business, organization, or entity (“Client”, “you”, or “your”) that accesses our website or purchases our professional services.

By accessing our website, submitting an inquiry, or engaging Quartz Falcon for services, you agree to these Terms.

If you do not agree with these Terms, you should not use our services.

1. Company Services

Quartz Falcon provides professional technology consulting services focused on:

Our services are designed to help organizations identify risks, improve processes, and make informed technology and business decisions.

Quartz Falcon provides consulting, analysis, and recommendations. We do not guarantee that all fraud, security incidents, financial losses, or operational risks will be completely eliminated.

2. Consulting Nature of Services

Quartz Falcon provides professional opinions, analysis, and recommendations based on information available at the time services are performed.

The Client understands that:

  • Business environments change

  • Technology systems evolve

  • Fraud methods continuously develop

  • Security risks cannot be completely eliminated

Recommendations provided by Quartz Falcon are intended to support decision-making and risk reduction efforts.

The Client remains responsible for final business decisions and implementation choices.

3. Client Responsibilities

To allow Quartz Falcon to provide effective services, the Client agrees to:

  • Provide accurate and complete information

  • Provide necessary documentation and access

  • Cooperate during consulting activities

  • Maintain appropriate authorization for information shared with Quartz Falcon

  • Review and approve project requirements

  • Implement recommendations according to their own business needs

Quartz Falcon is not responsible for delays or limitations caused by incomplete, inaccurate, or unavailable information provided by the Client.

4. Service Agreements and Scope of Work

Specific services may be governed by additional agreements, including:

  • Statements of Work (SOW)

  • Consulting agreements

  • Project proposals

  • Service agreements

  • Invoices

If additional agreements exist, they may define:

  • Project scope

  • Deliverables

  • Timeline

  • Fees

  • Responsibilities of each party

In case of conflict, the applicable signed agreement will control.

5. Payments and Fees

The Client agrees to pay all fees according to the agreed pricing, invoice terms, or service agreement.

Unless otherwise agreed:

  • Payments are due according to the invoice terms

  • Late payments may result in suspension of services

  • The Client is responsible for applicable taxes and fees

Failure to make required payments may result in termination of services.

6. Intellectual Property

All materials created by Quartz Falcon, including but not limited to:

  • Consulting methodologies

  • Frameworks

  • Templates

  • Internal processes

  • Tools

  • Documentation

  • Business analysis methods

remain the property of Quartz Falcon unless otherwise agreed in writing.

Client-specific deliverables created under a paid engagement may be provided to the Client according to the applicable service agreement.

The Client may not copy, resell, distribute, or commercially exploit Quartz Falcon materials without written permission.

7. Confidential Information

Both parties may receive confidential information during the business relationship.

Each party agrees to:

  • Protect confidential information

  • Use information only for intended purposes

  • Limit access to authorized individuals

  • Take reasonable measures to prevent unauthorized disclosure

Confidential information does not include information that:

  • Is publicly available

  • Was already lawfully known

  • Is independently developed

  • Must be disclosed by law

8. Data and Security Responsibilities

Quartz Falcon may review information related to technology systems, business processes, and risk management activities.

The Client is responsible for:

  • Having legal authority to provide information

  • Maintaining backups of its own systems

  • Protecting credentials and access controls

  • Following applicable regulations

Quartz Falcon does not assume responsibility for unauthorized access, system failures, or security incidents outside its reasonable control.

9. Fraud Prevention Disclaimer

Quartz Falcon provides fraud prevention and risk consulting services intended to reduce exposure to fraud and operational risks.

However:

  • No fraud prevention system can detect every fraudulent activity

  • No security process guarantees complete protection

  • Fraud techniques continuously change

  • Business decisions remain the responsibility of the Client

Quartz Falcon does not guarantee prevention of fraud losses, cyber incidents, financial damages, or unauthorized activities.

10. Third-Party Services

Quartz Falcon may recommend or work with third-party technologies, platforms, or service providers.

Quartz Falcon does not control third-party services and is not responsible for:

  • Third-party failures

  • Service interruptions

  • Security issues caused by third parties

  • Changes to third-party products or pricing

Third-party services are governed by their own terms and policies.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Quartz Falcon shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Lost profits

  • Loss of business opportunities

  • Data loss

  • Business interruption

  • Fraud losses

  • Security incidents outside the Company’s control

The total liability of Quartz Falcon shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

12. No Professional Guarantee

Quartz Falcon does not guarantee:

  • Specific financial results

  • Elimination of fraud risk

  • Regulatory approval

  • Business success

  • Complete security protection

Consulting services are provided based on professional judgment and available information.

13. Termination of Services

Quartz Falcon may suspend or terminate services if:

  • Payments are not made

  • The Client violates these Terms

  • The Client provides misleading information

  • Continued service creates legal, security, or operational concerns

The Client may terminate services according to applicable service agreements.

14. Governing Law

These Terms shall be governed by and interpreted according to the laws of the United States and applicable state laws where Quartz Falcon is registered.

Any disputes shall first be addressed through good-faith discussions between the parties.

15. Changes to These Terms

Quartz Falcon may update these Terms periodically.

Updated Terms will be posted with a revised effective date.

Continued use of our services after changes means you accept the updated Terms.
